Provider Agreement

This agreement is between EveryVillage [Ltd, company number [COMPANY NUMBER], registered office [REGISTERED ADDRESS]] (“EveryVillage”, “we”) and the business signing up for a listing (“Provider”, “you”). By paying for a listing or otherwise confirming agreement to these terms, you accept them.
1. What we provide
A listing for your business on the EveryVillage website for the agreed term, including your business name, description, services, accreditations, contact details and address as you supply them, under the category you're listed in. We may pass on enquiries from residents looking for your kind of service, but we are not a party to, and take no fee from, any job you and a customer agree between yourselves unless separately agreed in writing.
2. Fees and payment
Your fee is [£AMOUNT per LISTING TERM / referral commission of [X]%], as confirmed with you before payment and processed via Stripe. [Renewal terms (automatic vs. manual), TBC.]
3. Term and cancellation
Your listing runs for [TERM LENGTH] from the date it goes live. Either party can cancel with [NOTICE PERIOD] written notice. [Refund policy for cancellation before the term ends, TBC.]
4. Your responsibilities
You confirm that:
- the information you supply us is accurate and kept up to date;
- you are legally trading and hold any insurance, licences or accreditations you claim, and will tell us promptly if any of these lapse;
- you comply with all laws and professional regulations that apply to your trade, including (for regulated professions) any rules on referral fees or fee-splitting.
5. Using your content
You give us permission to publish the name, logo, description and other content you supply on the website and in related marketing for EveryVillage, for as long as your listing is active.
6. Data protection
We'll handle your information as described in our Privacy Policy. You consent to us publishing the listing details you supply, including personal data if you're a sole trader or partnership. Each party will comply with applicable data protection law.
7. No liability for your work
EveryVillage is a directory and referral service. We don't vet, supervise or take responsibility for the work you carry out, and we're not liable for any claim, loss or dispute arising between you and a customer. You agree to hold us harmless against any claim arising from work you've carried out or advertised through your listing.
8. Suspending or removing a listing
We may suspend or remove your listing if information in it turns out to be inaccurate, if a serious complaint is raised, if your insurance or accreditation lapses, or if payment isn't made, normally after giving you a chance to put it right first.
9. Our liability
Our total liability to you under this agreement is capped at the fees you've paid us in the preceding 12 months. We're not liable for indirect or consequential losses.
10. Governing law
This agreement is governed by the law of England and Wales.
